The stipulations in this Merchant Agreement are incorporated into the PartyEntry Terms & Conditions by reference. This Agreement contains important information about the terms governing PartyEntry's relationship with Organisers using our Services.
1. Purpose of This Merchant Agreement
This Merchant Agreement outlines the terms and conditions that apply to Organisers using the Services to manage their events and ticketing. By accepting the Terms & Conditions, you agree to the terms of this Merchant Agreement.
2. Registered Organiser Information
2.1 Additional Details
If an Organiser creates a paid event, PartyEntry may require additional information:
- Full legal name or business name
- Business registration number (if applicable)
- Stripe Connect account (for receiving payments)
- Contact email address and business address
- Tax identification number (if registered for MVA)
2.2 Authorization to Disclose
Organiser grants PartyEntry permission to share information relating to Organiser's events and transactions with Payment Processing Partners (Stripe) and Organiser's bank, where necessary for payment processing.
3. Payment Process
3.1.1 Method of Payment
Payment Flow (Stripe Connect)
When a Consumer purchases tickets:
- 1. Payment is charged to your Stripe Connect account
- 2. Stripe automatically deducts their processing fees from your balance
- 3. PartyEntry's platform fee is automatically sent to PartyEntry
- 4. Remaining funds are in your Stripe account for payout to your bank
Important: You must complete Stripe Connect onboarding to receive payments. All payments go through your Stripe Connect account - you have full visibility and control.
3.1.4 Applicable Fees
1. Platform Fee (Service Fee)
PartyEntry's fee for providing the ticketing platform, payment processing infrastructure, and customer support.
Structure: 3.40% + 7.99 NOK per ticket
Includes Norwegian MVA (25%)
Rounded up to whole kroner
Example:
1000 NOK ticket → Platform Fee = 53 NOK → Consumer pays 1053 NOK
2. Payment Processing Fee
Payment processing fees are charged by Stripe and vary by payment method. These fees are automatically deducted from your Stripe Connect balance.

3.1.4 Payment Method Selection
Organisers may choose which payment methods to make available to their customers through their account settings.
3.2.1 Payment Processing Procedure
Payment processing takes place via Stripe Connect:
- Consumer completes purchase through a secure payment interface
- Payment is charged to your Stripe Connect account
- Stripe automatically deducts their processing fees
- PartyEntry's platform fee is automatically sent to PartyEntry
- Remaining funds settle in your Stripe balance per Stripe's payout schedule
You can configure your payout schedule and frequency in your Stripe dashboard.
3.3 Refunds
All refunds relate to the ticket face value only. Platform Fees are not refunded, as PartyEntry has already provided the service.
Refund Process:
- Consumer requests refund from Organiser
- Organiser evaluates request according to their refund policy
- If approved, Organiser processes refund through PartyEntry dashboard
- Refund is issued from Organiser's Stripe Connect balance
- Consumer receives refund within the timeframe specified by their payment provider
Important: See Section 3.4 below for complete details on organiser liability for refund costs, including processing fees and negative balances.
3.4 Organiser Liability for Refunds, Chargebacks and Negative Balances
The Organiser is solely responsible for all refunds owed to ticket buyers and all associated costs, regardless of the reason for the refund. This includes responsibility for payment processing fees that are not refunded when tickets are refunded.
This includes refunds due to:
- Event cancellation, postponement, or material change
- Your refund policy (voluntary refunds)
- Consumer complaints or disputes
- Chargebacks or payment disputes
- Mandatory refunds required by PartyEntry
- Requirements under Norwegian consumer protection law
- Any other circumstance requiring a refund
Key Obligations:
- Processing fees remain your responsibility: When tickets are refunded, Stripe does not refund the original processing fees. You are responsible for these costs.
- Automatic deduction: PartyEntry may deduct refund amounts, processing fees, and chargebacks from your Stripe balance or future payouts automatically.
- Payment required if balance insufficient: If your Stripe balance becomes negative, you must reimburse PartyEntry in full within 7 business days of receiving notice.
- Withholding of payouts: PartyEntry may withhold current and future payouts until all negative balances are settled.
- Liability survives account closure: You remain liable even if you delete your account, stop using PartyEntry, or close your business.
What is a Negative Balance?
A negative balance occurs when refunds are issued after funds have been paid out to you, and you don't have sufficient future event proceeds to cover the refund amount and associated processing fees.
Why Processing Fees Are Your Responsibility:
When a refund occurs, someone must bear the cost of the processing fees that Stripe charged for the original transaction. The Organiser is responsible because:
- The event cancellation or refund was your decision or responsibility
- PartyEntry has already provided the ticketing service
- Stripe has already processed the original payment transaction
- The consumer is entitled to a full refund of their ticket price
Failure to Pay Negative Balance:
If you fail to remit payment within 7 business days:
- Withholding of all future payouts - Held as security until paid
- Interest charges - Unpaid amounts accrue interest
- Collections proceedings - Legal action may be pursued
- Legal costs - You're liable for all collection costs and legal fees
Right of Setoff
PartyEntry has the automatic right to deduct any amounts you owe from your current Stripe balance, future event proceeds, or any other amounts owed to you. This happens automatically without prior notice.
4. Prohibited Events & Transactions
Organisers may not post events or process transactions that:
- Violate Norwegian or international law
- Involve illegal activities, controlled substances, or weapons
- Promote discrimination, hate speech, or violence
- Misrepresent the nature or details of the event
- Are fraudulent or deceptive
5. Organiser Representations & Warranties
Organisers represent and warrant that:
- They have authority to enter into this Agreement
- All event information provided is accurate and not misleading
- They have obtained all necessary permits and licenses
- They will comply with all applicable Norwegian laws
- They own or have rights to all intellectual property used
- Events will be conducted safely and in compliance with regulations
6. Right to Termination
PartyEntry may terminate this Agreement if:
- Organiser violates this Agreement or Terms & Conditions
- Stripe terminates Organiser's Connect account
- Organiser posts Prohibited Events or processes Prohibited Transactions
- Significant number of chargebacks or Consumer complaints
- Organiser engages in fraudulent activity
10. Liability & Indemnification
Organiser is solely responsible for all aspects of their events, interactions with Consumers, refunds, legal compliance, and claims arising from their events.
Organiser agrees to indemnify, defend, and hold harmless PartyEntry from any claims, damages, or expenses arising from Organiser's breach of this Agreement, their events, Consumer injuries, violations of law, or infringement of third-party rights.
12.3 Governing Law
This Merchant Agreement is governed by Norwegian law. Any disputes shall be resolved in Norwegian courts with exclusive jurisdiction in Oslo, Norway.
No Arbitration Required: Parties are not required to arbitrate disputes. All parties have the right to pursue claims in Norwegian courts.
